These Terms of Service ("Terms") govern your use of the website and services provided by Bookify Global Services LLP, an Indian LLP registered under the LLP Act, 2008, with its principal place of business at Second Floor, 26/1259, Mythripuram Cross Road, Padamughal, Thrikkakara, P.O, Kochi, Kerala, India – 682021 ("Bookify," "we," "us," or "our").

These Terms form a legally binding agreement between you (the "Client," "you," or "your") and Bookify. By accessing our website, using our Services, or entering into a service engagement, you confirm your agreement to these Terms. If you do not agree, you may not use our Services.

  1. LEGAL CAPACITY & ACCEPTANCE

You affirm that you are a legal entity or a natural person of legal age, capable of forming a binding agreement. If you represent a company, you confirm that you have legal authority to bind that entity to these Terms.

  1. SCOPE OF SERVICES

Bookify provides B2B professional services, including:

  • Bookkeeping, accounting, and finance process outsourcing
  • Offshoring services and operational support
  • MIS reporting, payroll, and compliance support
  • Staff augmentation, BOT, EOR, and PEO models

All engagements shall be governed by a separate Master Services Agreement ("MSA") or Engagement Letter. In case of any conflict, the terms of such MSA or Engagement Letter shall prevail.

  1. CLIENT RESPONSIBILITIES

Clients shall:

  • Provide timely, complete, and accurate data necessary for performance of services
  • Maintain necessary authorizations, permissions, and licenses to share data with Bookify
  • Cooperate with Bookify’s team in good faith
  • Not use the Services for unlawful, fraudulent, or malicious activities

Bookify is not liable for consequences resulting from erroneous, incomplete, or delayed information provided by the Client.

  1. DATA PROTECTION & GDPR COMPLIANCE

Bookify strictly adheres to data protection laws applicable in jurisdictions where it operates, including the EU General Data Protection Regulation (GDPR), UK GDPR, Personal Information Protection and Electronic Documents Act (PIPEDA) of Canada, applicable federal and state privacy laws in the United States (including the CCPA and others as applicable), and applicable Indian data protection laws. Key commitments include:

  • Personal data processed strictly on a lawful basis
  • Client data hosted in EU/UK/US/Canada as contractually agreed
  • Sub-processors are GDPR-compliant and bound by DPAs
  • A Data Processing Agreement (DPA) shall be executed as required
  • Client remains the Data Controller for all shared data
  1. CONFIDENTIALITY

Each party shall retain in confidence all non-public, proprietary, or confidential information received in connection with the services. Disclosure is restricted to employees or advisors who require access to perform the agreement and are bound by confidentiality obligations. This clause shall survive for five (5) years after termination.

  1. INTELLECTUAL PROPERTY

All intellectual property rights in deliverables created by Bookify, its employees, or subcontractors shall remain with Bookify unless explicitly assigned otherwise. Clients are granted a non-exclusive, non-transferable license to use deliverables strictly for internal business purposes.

Reverse engineering, redistribution, sublicensing, or replication of deliverables is strictly prohibited unless otherwise agreed in writing.

  1. THIRD-PARTY INTEGRATIONS

Bookify may assist in integrating third-party platforms (e.g., Xero, QuickBooks, SAP, etc.). However, Bookify is not responsible for any malfunction, inaccuracy, breach, or delay caused by such platforms. Clients are responsible for ensuring compliance with third-party terms.

  1. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law:

  • Bookify shall not be liable for any indirect, incidental, special, punitive, or consequential damages
  • Bookify’s total liability under these Terms shall not exceed the fees paid for the Services in the preceding two (2) months
  • Nothing limits liability for fraud, willful misconduct, or death/personal injury due to negligence. For the purposes of this clause, "willful misconduct" shall mean intentional disregard of known or obvious risks that are likely to cause harm or loss, and not mere errors in judgment, negligence, or failure to follow standard procedures unless accompanied by such intentional conduct.

Client waives any claims arising more than one (1) year after the event giving rise to the claim.

  1. INDEMNIFICATION

Client agrees to indemnify, defend, and hold harmless Bookify, its partners, employees, and affiliates against all claims, liabilities, damages, losses, and expenses, including legal fees, arising from:

  • Breach of these Terms
  • Unlawful or unauthorized use of the Services
  • Violation of data protection obligations by the Client
  1. TERMINATION

Either party may terminate a service engagement by providing written notice in accordance with the MSA or Engagement Letter.

Upon termination:

  • All unpaid invoices shall become immediately due
  • Client data shall be returned or securely deleted within 30 days as per agreement
  • All licenses and access rights granted to the Client shall cease
  1. FORCE MAJEURE

Neither party shall be liable for delay or failure to perform due to events beyond reasonable control, including but not limited to natural disasters, cyber-attacks, labor disputes, or governmental restrictions.

  1. GOVERNING LAW & JURISDICTION

These Terms shall be governed by the laws of India, irrespective of the Client's location. All disputes arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Indian Council of Arbitration (ICA) Rules, with the seat of arbitration in Kochi, Kerala, India. The arbitration shall be conducted in English. The parties agree to make all reasonable efforts to resolve disputes amicably before initiating arbitration proceedings.

  1. CHANGES TO TERMS

Bookify may modify these Terms at any time. Material changes will be notified via email or website update. Continued use of the Services implies acceptance of the revised Terms.

  1. ENTIRE AGREEMENT

These Terms, together with any applicable Engagement Letter or MSA, constitute the entire agreement and supersede all prior communications, whether written or oral, relating to the subject matter.
